#CODETOIMPACT 2023 Terms and Conditions

Online Hackathon Registration Terms. 

1. Contest Mechanics 

1.1. The “#CODETOIMPACT” hackathon, including without limitation any workshops conducted in connection with the “#CODETOIMPACT” hackathon (collectively, the “Contest”) will be subject to the terms and conditions contained herein (collectively, the “Terms and Conditions”). As a participant in the Contest, you agree for the Terms and Conditions to apply to your participation in the Contest. 

1.2. The Contest is organized by GIC Private Limited (the “Organiser” or “GIC”) and will run as follows (the “Contest Period”): 9 September 2023 to 10 September 2023 

1.3. Entrance criteria

Penultimate and final year information technology, software engineering, and computer science university student in Singapore.  

1.4. Rules of Contest 

Participants will be placed into teams of four, or more. GIC will provide a challenge statement, which participants need to solve as a team over the Contest Period. The teams will be given 10 minutes to present their solutions to GIC’s panel of judges. 

2. Winner Selection 

2.1. Upon completion of the Contest, GIC will, at its sole discretion, select the winning team, first runner-up, and second runner-up from the submitted responses for the Contest.  
 
2.2.  Any decision by the Organiser in connection with any aspect of the Contest is final. Participants agree to be bound by the decision of the Organiser and no discussion on any decisions made by the Organiser will be entertained. 

3. Confidentiality 

Confidential Information” means all information relating to or to the activities of GIC and its subsidiaries and associated companies, including but not limited to: (a) all information and documents relating to or in connection with or in respect of the business or operations and all financial and any other information of, GIC and/or its subsidiaries and/or associated companies and its or their dealings, transactions and affairs in whatsoever form whether in writing, in pictorial form, in machine readable form or otherwise including information perceived through aural or visual means; and (b) all information and documents derived from any information or documents referred to in (a) above 

3.1. Please note that GIC’s Confidential Information is protected under Singapore’s Official Secrets Act (Cap 213) (“OSA”). Penalties for breach of the OSA is a jail term of up to two years and/or a fine of up to S$2,000.  

3.2. By participating in this Contest, you confirm that (i) you will keep all Confidential Information as private and confidential and safeguard it accordingly; (ii) you will only use the Confidential Information solely for the purpose of participating in the Contest; all Confidential Information and copies (in whatever form) which is acquired, received or made by yourself, or made available to yourself remains the property of GIC and shall be surrendered by yourself to a GIC representative at the end of the Contest and you shall destroy any other records (including, without limitation, those in machine readable form) containing Confidential Information acquired, received or made by yourself, or made available to yourself. Your obligations set out in this entire paragraph shall continue to apply notwithstanding the completion of the Contest. 

4. Intellectual Property terms 

4.1. By entering into the Contest, you represent and warrant that (i) the Contest entry provided by yourself and your team members (the “Contest Entry”) do not breach any agreement or obligations you or your team members have in place with any third party; and (ii) the Contest Entry represents your and your team members’ original work and does not infringe any intellectual property rights of any third party. 

4.2. GIC grants to you for the Contest Period a non-exclusive, non-transferable and revocable license to use the Confidential Information solely in connection with the Contest. You shall not, without the prior written consent of GIC, alter or modify or create derivative works of any of the Confidential Information or any of GIC’s intellectual property except as expressly set forth in these Terms and Conditions. Nothing in these Terms and Conditions is intended to grant you any other rights to use any of GIC’s intellectual property, except as expressly set out under these Terms and Conditions. 

4.3. By entering into the Contest, (i) you hereby assign, transfer and agree to assign and transfer to GIC all intellectual property rights in the Contest Entry to GIC, including without limitation any trademark rights, copyrights, moral rights or “droit moral”; (ii) GIC will have all requisite rights to copy, edit, publicly display, publicly perform, broadcast, publish and use, in whole or in part, any Contest Entry, in any manner without further compensation during and after the Contest; (iii) at GIC’s request, you will assist GIC in taking any further actions required to enable GIC to acquire, transfer, maintain, perfect and enforce all intellectual property rights in the Contest Entry; (iv) you acknowledge that GIC or other third parties may have developed or commissioned works or may develop or commission works which are similar to the Contest Entry and you waive any claims arising from any similarities between the Contest Entry and such works. 

5. Personal data 

5.1. Without prejudice to any separate consent you have provided in relation to GIC’s collection, processing and use of your personal data, by signing up for the Contest, you hereby consent to GIC’s collection, transfer, processing and use of your personal data (i) for purposes of administering the Contest; (ii) for Employer Brand & Marketing, GIC Internship Programme and GIC Professionals Programme recruitment; and (iii) in accordance with GIC’s Privacy Statement and Personal Data Protection Policy

6. Disclaimers and rights 

6.1. Subject to compliance with applicable law, the Organiser shall have the right in its sole discretion to vary or change these Terms and Conditions and/or any aspect of the Contest at any time without prior notice to the participants. The Organiser also reserves the right to disqualify and/or remove any entries to the Contest in its sole discretion. 

6.2. To the extent permitted under applicable law, the Organiser and its employees shall not be liable for any all losses, claims, demands, costs, expenses, liabilities, causes of action, and/or damages which may arise in connection with the Contest and/or any decisions made by the Organiser and its employees in connection with the Contest. You will indemnify the Organiser, its affiliates, their employees and any other third parties from any losses, claims, demands, costs, expenses, liabilities, causes of actions and/or damages arising due to your actions taken in connection with the Contest.

6.3. A failure by the Organiser to exercise or enforce any rights conferred upon it by these Terms and Conditions shall not be deemed to be a waiver of such rights or operate so as to bar the exercise or enforcement thereof at any subsequent time.  

6.4. A person or entity who is not a party to these Terms and Conditions shall have no right to enforce or to enjoy the benefit of any term of these Terms and Conditions 

6.5. If any provision of these Terms and Conditions is or subsequently is deemed to be illegal, invalid or unenforceable in any respect, the legality, validity and enforceability of the remaining provisions of these Terms and Conditions shall not be affected or impaired thereby, and shall continue in force and effect as if such illegal, invalid or unenforceable provision was removed from these Terms and Conditions. 

7. Governing law 

These Terms and Conditions shall be governed by and construed in accordance with the laws of Singapore, and you submit to the exclusive jurisdiction of the courts of Singapore.
